Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Pixelik website and services. By accessing or using our services, you agree to be bound by these Terms.

1. Operator / Contracting Party

In these Terms, "Pixelik", "we" and "us" mean Pixelik Ltd, a company registered in England and Wales (Company No. 17057272), with registered office at First Floor Office, 3 Hornton Place, London, W8 4LZ, United Kingdom. Pixelik Ltd operates this website and is the contracting party for all services, invoices and agreements.

2. Services & Engagements

Pixelik Ltd provides custom software development and AI engineering services through fixed-scope, phased engagements (Embedded Discovery, Production Build and, where needed, Hardening, each engagement ending in handover; Aftercare by agreement) and custom engagements. The specific deliverables, hard limits, and timelines for each engagement are confirmed in your invoice or agreement.

3. Intellectual Property

Unless otherwise agreed in writing:

• Client Ownership: Upon full payment, you will own 100% of the rights, title, and interest in the custom deliverables, source code, and design assets created specifically for you.
• Background IP: Pixelik Ltd retains rights to its pre-existing code libraries and tools ("Background IP"). We grant you a perpetual, irrevocable, royalty-free, worldwide license to use, modify, and distribute any Background IP incorporated into your deliverables, ensuring you are never locked in.

4. Payment & Credits

Fixed Pricing: Engagements are billed at the fixed rates agreed upon.
Credit Policy: If you proceed from an Embedded Discovery to a Production Build within 45 days of the Embedded Discovery's completion, 100% of the fee paid for the Embedded Discovery will be credited towards the Production Build fee.

5. Warranty

We provide a 14-day warranty period following the handover of the Production Build deliverables. During this period, we will fix any bugs or defects in the code at no additional cost. This warranty does not cover new feature requests, issues caused by third-party API changes, or modifications made by your team.

6. Confidentiality

We agree to keep your proprietary information confidential and to use it only for the purpose of providing the Services. You agree to keep our proprietary information (including pricing and technical specifications) confidential.

7. Limitation of Liability

To the maximum extent permitted by law, Pixelik Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

8. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

The contracting party providing the services is Pixelik Ltd, registered in England and Wales (Company No. 17057272), First Floor Office, 3 Hornton Place, London, W8 4LZ, United Kingdom.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Site. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
